Welcome to ElitePTS ("ElitePTS", "we", "our", or "us"). These Terms of Use ("Terms") govern your access to and use of the ElitePTS website located at elitepts.com, our mobile applications, coaching platforms, digital programs, wellness tools, and related services (collectively, the "Platform").

By accessing or using the Platform, creating an account, purchasing a program, or engaging with any ElitePTS service, you agree to be bound by these Terms and our Privacy Policy. If you do not agree to these Terms, you may not use the Platform.

ElitePTS reserves the right to update these Terms at any time. Continued use of the Platform following any change constitutes acceptance of the revised Terms.

To access certain features of the Platform, you must create an account. You agree to provide accurate, current, and complete information and to keep your account information updated.

• You are responsible for maintaining the confidentiality of your account credentials.
• You agree to notify ElitePTS immediately of any unauthorized access or use of your account.
• ElitePTS may store account data, preferences, coaching notes, and wellness check-in information in connection with the services provided.
• Personal data submitted to the Platform is handled in accordance with our Privacy Policy.
• We may retain data as required by applicable law or for legitimate business purposes.
• Coaching-related data, including health and wellness check-ins, may be shared with your assigned coach within the Platform.

Users should not submit sensitive medical records, prescription information, or clinical health data to the Platform. ElitePTS coaching and wellness tools are for fitness and educational purposes only — not clinical care.

The Platform may allow users to submit text, images, files, forms, coaching feedback, progress photos, and related content ("User Content"). By submitting User Content, you represent that you have all necessary rights to do so and that the content does not violate any third-party rights.

• User Content is for coaching workflow support and educational use within the Platform.
• Sensitive health and fitness data should be handled with care. Do not submit clinical medical records.
• ElitePTS does not use User Content for advertising purposes without explicit consent.
• ElitePTS reserves the right to remove content that violates these Terms or our Acceptable Use policy.
• Uploaded files are stored securely and accessible only to authorized account holders and assigned coaching staff.

All content on the Platform — including programs, articles, tools, calculators, video materials, coaching curricula, and branded assets — is owned by or licensed to ElitePTS and protected by applicable intellectual property laws.

• You may not reproduce, redistribute, sell, or create derivative works from ElitePTS content without written permission.
• Personal use of purchased digital programs is permitted for the purchasing account holder only.
• Sharing login credentials or redistributing purchased content is prohibited.
• The ElitePTS name, logo, and branding are registered trademarks and may not be used without authorization.

By submitting User Content to the Platform, you grant ElitePTS a limited, non-exclusive license to use, display, and store that content solely for the purpose of providing the services you have requested.

ElitePTS provides fitness education, coaching services, wellness tools, and related informational content. Nothing on the Platform constitutes medical advice, diagnosis, or treatment.

• Always consult a qualified healthcare professional before beginning any exercise or nutrition program.
• Individual results will vary. Testimonials and success stories shown on the Platform are not guarantees of similar results.
• ElitePTS coaches are fitness and wellness professionals — not medical doctors, physiotherapists, or clinical practitioners.
• PAR-Q and wellness intake forms are screening tools only and do not replace medical assessment.
• If you experience pain, dizziness, or any adverse symptoms during exercise, stop immediately and consult a doctor.
• ElitePTS accepts no liability for injury, illness, or adverse outcomes arising from use of Platform content or services.

Certain ElitePTS services require payment. By purchasing a program, subscription, or service through the Platform, you agree to pay the applicable fees and authorize ElitePTS or its designated payment processor to charge your selected payment method.

• All prices are displayed in Canadian Dollars (CAD) unless otherwise stated.
• Payments are processed by third-party payment processors (see Section 8).
• ElitePTS does not store full payment card details on its servers.
• Billing errors or unauthorized charges should be reported to support immediately at support@elitepts.com.
• Applicable taxes may be applied at checkout depending on your jurisdiction.

Some ElitePTS services are offered on a subscription basis with recurring billing. By subscribing, you authorize ElitePTS or its payment processor to charge your payment method on the applicable billing cycle (monthly, quarterly, or annually).

• Subscriptions automatically renew unless cancelled before the renewal date.
• You may cancel your subscription at any time through your account settings or by contacting support.
• Cancellation takes effect at the end of the current billing period. No partial-period refunds are issued unless required by law.
• ElitePTS reserves the right to change subscription pricing with reasonable advance notice.
• If a payment fails, ElitePTS may suspend access to subscription features until the account is settled.

ElitePTS uses third-party payment processors to handle payment transactions securely. By submitting payment information through the Platform, you agree to the applicable terms and privacy policies of the payment processor used.

• Payment processors used may include Stripe, Wix Payments, or similar PCI-DSS compliant services.
• ElitePTS is not responsible for errors, outages, or disputes arising from third-party payment processor systems.
• Your payment data is governed by the third-party processor's privacy and security terms.
• ElitePTS does not store full card numbers, CVV codes, or banking credentials.

ElitePTS maintains a separate Refund Policy covering refunds, cancellations, and chargebacks for digital programs, coaching services, and subscriptions. Please review the full Refund Policy before making a purchase.

In general, digital program purchases are non-refundable once access has been granted, except where required by applicable consumer protection law. Coaching service refunds are assessed on a case-by-case basis within 7 days of purchase where no sessions have been delivered.

The ElitePTS Platform is intended for users aged 18 years and older. Users aged 16–17 may access certain features with verified parental or guardian consent.

• Users under the age of 16 are not permitted to create accounts or use the Platform.
• Parents or guardians creating accounts on behalf of minors (16–17) accept full responsibility for account activity.
• Minors should obtain written physician clearance (PAR-Q / medical clearance) before beginning any fitness program.
• ElitePTS does not knowingly collect personal data from children under 16 without verifiable parental consent.

You agree to use the Platform only for lawful purposes and in a manner consistent with these Terms. The following activities are prohibited:

• Sharing, selling, or redistributing paid content or programs without authorization.
• Submitting false, misleading, or fraudulent information.
• Harassing, abusing, or threatening other users or ElitePTS staff.
• Attempting to gain unauthorized access to Platform systems or data.
• Using automated tools, bots, or scrapers to extract content from the Platform.
• Uploading malicious code, malware, or disruptive content.
• Using the Platform for commercial solicitation without written permission from ElitePTS.
• Impersonating ElitePTS, its staff, or other users.

ElitePTS reserves the right to suspend or terminate accounts that violate these Acceptable Use policies without prior notice.

You are responsible for maintaining the security of your account login credentials. ElitePTS will never ask for your password via email, chat, or phone.

• Use a strong, unique password for your ElitePTS account.
• Enable two-factor authentication where available.
• Do not share your account credentials with third parties.
• Log out of shared or public devices after use.
• Report any suspected unauthorized access immediately via support@elitepts.com.

ElitePTS aims to provide a reliable, high-availability platform. However, we do not guarantee uninterrupted access to the Platform and reserve the right to perform maintenance, updates, or temporary suspension of services as needed.

[PLACEHOLDER — To be completed with qualified legal counsel before production.] Any disputes arising from or relating to these Terms or your use of the Platform shall be resolved through binding arbitration in accordance with the applicable arbitration rules, except where prohibited by law. The arbitration shall take place in Calgary, Alberta, Canada, or as mutually agreed.

Nothing in this section prevents either party from seeking injunctive or equitable relief in a court of competent jurisdiction for matters involving intellectual property rights or urgent interim relief.

You waive any right to bring claims as a class representative or class member.

Additional terms may apply to specific services, programs, or features offered through the Platform. Where additional terms exist, they will be presented at the point of access and are incorporated into these Terms by reference.

• Marketplace seller/trainer terms apply to all ElitePTS Marketplace transactions.
• Wellness and health coaching services are subject to the Health Coaching Terms and Medical Disclaimer.
• Affiliate and referral program participants are subject to separate Affiliate Terms.
• These Terms are governed by the laws of the Province of Alberta, Canada.

The ElitePTS Marketplace operates two distinct models: certification-gated trainer service gigs and auction-only member listings for used fitness equipment and eligible supplement products. Marketplace use is governed by the Marketplace Terms & Seller Policy, incorporated into these Terms.

• General sellers may create timed auctions only; fixed-price member product listings are not permitted.
• Trainer sellers require identity and recognized professional-certification approval before a storefront or service gig may publish.
• Bids, service orders, reviews, messages, payouts, disputes, shipping, and pickup are subject to marketplace-specific rules.
• Used equipment and supplement transactions are peer-to-peer and involve risks; platform moderation is not inspection, authentication, medical advice, or a guarantee.
• Off-platform payment diversion, shill bidding, fake reviews, misleading claims, unsafe products, counterfeit products, opened or expired supplements, and unauthorized health products are prohibited.

All ElitePTS content is proprietary to ElitePTS / APEX9 Corp. and protected by copyright and trademark law. Copying, cloning, scraping, automated extraction, AI training, model ingestion, republication, derivative commercial use, and use in competing products are prohibited without prior written permission.

• AI-training and scraping crawlers are disallowed in our robots.txt (including GPTBot, CCBot, Google-Extended, ClaudeBot, anthropic-ai, Bytespider, Applebot-Extended, FacebookBot, Meta-ExternalAgent, and others); normal Googlebot/Bingbot indexing is preserved.
• A machine-readable AI/content-use policy is published at /ai.txt.
• Premium downloads are gated by authentication and, where supported, expiring signed URLs, rate limits, download logging, and per-user watermarking. The free Personal Training Guide remains publicly downloadable but is branded and watermarked.
• Visible and invisible ownership evidence — watermarks, document IDs, version stamps, publication timestamps, and an internal asset provenance registry — is applied to protected content.
• Front-end deterrents (disabled image dragging, discouraged context-menu saving on protected assets) supplement, but do not replace, access controls. Accessibility, keyboard navigation, and search indexing of public content are preserved.
• No technical measure can make public web content impossible to copy; ElitePTS relies on layered deterrence, access control, crawler instructions, evidence, and enforcement.
